Terms of Service

1. Definitions

• \\\"MotoDoc\\\", \\\"we\\\", \\\"us\\\", or \\\"our\\\" refers to MotoDoc Oy, a Finnish limited liability company (Business ID: 3599168-4), with its registered office in Tampere, Finland.
• \\\"User\\\", \\\"you\\\", or \\\"your\\\" refers to any individual who creates an account on the Platform as a driver or vehicle owner.
• \\\"Service Provider\\\" refers to garages, auto repair shops, tire shops, detailing studios, and other automotive service businesses registered on the Platform.
• \\\"Platform\\\" refers to the MotoDoc mobile application (iOS and Android), web application, and all related services, features, and tools.
• \\\"Services\\\" refers to the features and functionality provided by the Platform, including but not limited to: vehicle management, service history, booking, messaging, payment processing, reminders, and membership programs.
• \\\"Content\\\" refers to any data, text, images, files, or other materials uploaded, submitted, or displayed on the Platform by Users or Service Providers.
• \\\"Membership\\\" refers to a subscription program offered by a Service Provider to Users through the Platform.

2. Eligibility

• You must be at least eighteen (18) years of age to create an account and use the Platform. By registering, you represent and warrant that you are at least 18 years old.
• You must provide accurate, complete, and current information during registration and keep your account information updated.
• You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.
• You may not create more than one account per person. You may not create an account on behalf of another person without their explicit consent.

3. The Platform

3.1 What MotoDoc Provides

MotoDoc is a platform that connects drivers with automotive service providers. We provide technology and tools to facilitate this connection. Through the Platform, you can:

• Register and manage one or more vehicles
• Connect with Service Providers and join their membership programs
• Book service appointments or submit repair requests
• View and store your vehicle's digital service history
• Receive reminders for scheduled maintenance, inspections (katsastus), and other vehicle-related dates
• Communicate with Service Providers via in-app messaging
• Process payments for services rendered by Service Providers
• Access personalized service recommendations based on your vehicle data and service history

3.2 What MotoDoc Is Not

MotoDoc is a technology platform, not an automotive service provider. We do not perform vehicle repairs, maintenance, inspections, or any other automotive services. We do not employ or control Service Providers. The relationship between you and a Service Provider is a direct relationship between you and that business. MotoDoc is not a party to that relationship.

We do not guarantee the quality, safety, legality, or availability of any services offered by Service Providers on the Platform. We do not verify the qualifications, certifications, or insurance status of Service Providers beyond basic registration requirements.

3.3 Availability

We strive to keep the Platform available at all times, but we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Platform unavailability.

4. User Accounts and Vehicles

• You may add one or more vehicles to your account by providing the vehicle's make, model, year, and registration plate number. You represent and warrant that you are the owner or authorized user of any vehicle you add to your account.
• Where available, MotoDoc may retrieve vehicle data from public registries (such as Traficom in Finland) using your registration plate number. This data may include vehicle specifications, registration dates, inspection dates, and other publicly available information. By adding a vehicle, you consent to this data retrieval.
• You are responsible for the accuracy of all vehicle information in your account. MotoDoc is not liable for any consequences resulting from inaccurate vehicle data provided by you.

5. Bookings and Repair Requests

• You may use the Platform to book service appointments or submit repair requests to Service Providers you are connected with.
• A booking constitutes a request to a Service Provider. The Service Provider may accept, decline, or propose alternative arrangements. A booking is confirmed only when the Service Provider explicitly accepts it through the Platform.
• Cancellation policies are set by individual Service Providers. MotoDoc does not control cancellation terms. Please review the Service Provider's terms before confirming a booking.
• MotoDoc is not responsible for any dispute between you and a Service Provider regarding bookings, service quality, pricing, or any other matter. Such disputes are to be resolved directly between you and the Service Provider.

6. Memberships

• Service Providers may offer Membership programs through the Platform. Memberships are contractual relationships between you and the Service Provider, not between you and MotoDoc.
• Membership terms, pricing, benefits, and cancellation policies are set by the Service Provider. MotoDoc facilitates the technical infrastructure for Memberships but does not determine or control their terms.
• Membership payments are processed through the Platform. By subscribing to a Membership, you authorize MotoDoc to process recurring payments on behalf of the Service Provider in accordance with the Membership terms.
• To cancel a Membership, follow the cancellation process available in the Platform. Cancellation terms are governed by the Service Provider's policies. MotoDoc will cease processing payments upon effective cancellation.

7. Payments

• The Platform may allow you to pay for services, invoices, Memberships, and other charges electronically. Payments are processed by third-party payment processors (such as Stripe). By using payment features, you also agree to the payment processor's terms of service.
• You agree to pay all charges incurred through your account. You are responsible for ensuring that your payment method is valid, current, and has sufficient funds.
• MotoDoc does not set the prices charged by Service Providers. All pricing disputes are between you and the Service Provider.
• In the future, the Platform may facilitate payment of third-party bills such as insurance premiums and road tax. These payments are processed as a convenience to you. MotoDoc is not the billing entity and is not responsible for the underlying obligations.
• Refunds for services are the responsibility of the Service Provider. MotoDoc may facilitate refund processing at the Service Provider's instruction but is not obligated to issue refunds from its own funds.

8. Free and Premium Features

• MotoDoc offers certain features free of charge (\\\"Free Features\\\") and may offer additional features for a fee (\\\"Premium Features\\\").
• We reserve the right to change which features are included in Free Features and Premium Features at any time. We will provide reasonable notice before removing features from the free tier that you actively use.
• Premium Features may be offered as one-time purchases or recurring subscriptions. Pricing, billing frequency, and payment terms for Premium Features will be clearly disclosed before purchase.
• Premium subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time through the Platform settings. Cancellation takes effect at the end of the current billing period.

9. Use of Data and Personalized Recommendations

• Service Recommendations. MotoDoc uses your vehicle data, service history, and usage patterns to provide personalized service recommendations, reminders, and insights. For example, we may recommend an oil change based on time elapsed since your last service, or alert you to upcoming inspection dates. This processing is performed under the legal basis of legitimate interest (GDPR Article 6(1)(f)), as it is a core function of the Platform and directly benefits you.
• Improved Services. We may use aggregated and anonymized data derived from User activity to improve the Platform, develop new features, conduct research, and generate industry insights. Aggregated data cannot be used to identify any individual User.
• Partner Recommendations. With your explicit consent, we may use your data to recommend third-party products and services that may be relevant to you, such as insurance offers, parts deals, or cashback programs. You can opt in or opt out of partner recommendations at any time in your account settings. This processing is based on consent (GDPR Article 6(1)(a)).
• Service Provider Insights. We may provide Service Providers with aggregated and anonymized insights about service trends, customer behavior, and market demand. These insights will never identify individual Users unless the User has consented to sharing their data with a specific Service Provider through the Platform (e.g., by joining their Membership or booking a service).
• No Sale of Personal Data. MotoDoc does not sell your personal data to third parties. We do not share your personal data with advertisers or data brokers.
• Your Control. You can manage your data preferences, including personalization settings and consent for partner recommendations, through the Platform settings at any time. For full details on how we collect, use, and protect your data, see our Privacy Policy.

10. Service History and Records

• Service records created through the Platform (by Service Providers completing jobs, or by you manually) are stored digitally in your account.
• MotoDoc strives to maintain accurate records but does not guarantee the completeness or accuracy of service history. Records are based on data entered by Service Providers and/or you.
• Service records are provided for informational purposes. They do not constitute legal, contractual, or warranty documentation unless explicitly agreed with the relevant Service Provider.
• You may export your service history at any time in a standard format, in accordance with your right to data portability under GDPR Article 20.

11. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Provide false, misleading, or inaccurate information in your account, vehicle details, or communications
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems
• Use automated means (bots, scrapers, crawlers) to access or interact with the Platform without our written consent
• Upload or transmit viruses, malware, or other harmful code
• Harass, abuse, or threaten other Users or Service Providers through the Platform
• Use the Platform to send spam, unsolicited messages, or promotional content
• Copy, modify, distribute, or reverse-engineer any part of the Platform

12. Intellectual Property

• The Platform, including all software, design, text, graphics, logos, and trademarks, is the exclusive property of MotoDoc Oy and is protected by Finnish and international intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes in accordance with these Terms.
• You retain ownership of Content you upload to the Platform (such as photos, notes, or documents). By uploading Content, you grant MotoDoc a non-exclusive, worldwide, royalty-free license to use, store, and process such Content solely for the purpose of providing and improving the Platform.

13. Disclaimers

• THE PLATFORM IS PROVIDED \\\"AS IS\\\" AND \\\"AS AVAILABLE\\\" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• MotoDoc does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) the results obtained from the Platform will be accurate or reliable.
• MotoDoc does not endorse, guarantee, or assume responsibility for any Service Provider, service, product, or content advertised or offered through the Platform.
• Vehicle data retrieved from public registries (such as Traficom) is provided \\\"as is.\\\" MotoDoc is not responsible for inaccuracies in data obtained from third-party sources.

14. Limitation of Liability

• To the maximum extent permitted by applicable law, MotoDoc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of the Platform.
• MotoDoc's total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total amount you have paid to MotoDoc in the twelve (12) months preceding the claim; or (b) one hundred euros (€100).
• MotoDoc is not liable for any damages, injuries, losses, or costs arising from: (a) services performed by Service Providers; (b) the conduct of other Users or Service Providers; (c) your reliance on information provided through the Platform; or (d) unauthorized access to your account due to your failure to safeguard your credentials.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable EU or Finnish law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

15. Indemnification

You agree to indemnify, defend, and hold harmless MotoDoc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any Content you upload or submit through the Platform.

16. Termination

• You may terminate your account at any time by deleting your account through the Platform settings or by contacting us at info@motodoc.app.
• MotoDoc may suspend or terminate your account at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or if required by law.
• Upon termination: (a) your right to use the Platform ceases immediately; (b) you may request an export of your data before or within thirty (30) days of account deletion; (c) we may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy; (d) any outstanding payment obligations survive termination.
• Active Memberships with Service Providers must be cancelled separately before account deletion. MotoDoc will not process further Membership payments after account termination but is not responsible for obligations incurred before termination.

17. Changes to These Terms

• We may update these Terms from time to time. We will notify you of material changes by email and/or through the Platform at least thirty (30) days before the changes take effect.
• Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
• We will maintain an archive of previous versions of these Terms, accessible through the Platform or upon request.

18. Governing Law and Jurisdiction

• These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles. Where applicable, mandatory provisions of EU law (including the GDPR and EU consumer protection directives) shall prevail.
• For Users residing in the European Union, nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your country of residence.
• Any disputes arising from or relating to these Terms that cannot be resolved amicably shall be submitted to the jurisdiction of the courts of Pirkanmaa District Court (Pirkanmaan käräjäoikeus), Tampere, Finland. EU consumers may also bring proceedings in their country of residence.
• EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.

19. Consumer Rights (EU)

• If you are a consumer within the European Union, you have a statutory right to withdraw from a digital service contract within fourteen (14) days of purchase without giving any reason (\\\"Right of Withdrawal\\\"). This applies to Premium Feature purchases and paid subscriptions.
• You acknowledge that by using the Platform and accessing digital content immediately, you may waive your Right of Withdrawal for digital content that has been fully delivered. We will ask for your explicit consent before delivering digital content during the withdrawal period.
• To exercise your Right of Withdrawal, contact us at info@motodoc.app with a clear statement of your decision. We will process any refund within fourteen (14) days using the same payment method you used for the original transaction.

20. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy and any Service Provider-specific terms, constitute the entire agreement between you and MotoDoc regarding your use of the Platform.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• No Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment. MotoDoc may assign its rights and obligations under these Terms to an affiliate or successor entity. You may not assign your rights or obligations without our prior written consent.
• Force Majeure. MotoDoc shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, network failures, or power outages.
• Language. These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
